Redcap&Truss acted as financial advisor to Robert B Somerville Co. Ltd. (“Somerville”) on the acquisition of A&W High Voltage Contracting Ltd. (“A&W High Voltage”).
Robert B. Somerville provides a comprehensive and fully integrated range of infrastructure services across Canada. They plan, build and maintain oil and gas pipelines, power and other utilities systems and related facilities. Renewable and sustainable energy projects are an important and growing part of its business. Somerville’s clients include many of Canada’s major utilities and municipalities.
This acquisition is a key milestone in Somerville’s journey, enabling it to expand into high voltage electrical projects.
Redcap&Truss acted as the exclusive financial advisor to Somerville and facilitated a transaction by:
- Analyzing target’s financial statements, asset list and its service offering (both historical and future) and developing an initial estimate of value – process ultimately identified A&W High Voltage as an attractive target
- Quarterbacking all due diligence and documentation communications required between Somerville’s advisors, accountants and lawyers and A&W high Voltage’s advisors
- Negotiating the final LOI (letter of intent) and PSA (share purchase and sale agreement) with A&W High Voltage
